Single-Business Lifetime License Agreement
This Commercial Software License Agreement (“Agreement”) is entered into between Ravi Kumar trading under the brand Ravi Kumar AI, located in Noida, Uttar Pradesh, India (“Licensor”), and the individual or business entity purchasing or downloading CleanerDesk (“Licensee”).
1. Grant of License
Upon verified payment of the applicable one-time purchase price shown at checkout, Licensor grants Licensee a perpetual, non-exclusive, non-transferable commercial license to install, customize, and operate CleanerDesk for the internal day-to-day operations of one (1) residential cleaning business entity.
CleanerDesk is local-first and does not require a continuous internet connection. Initial activation and periodic brief internet access are required to verify license validity. Between successful verification periods, CleanerDesk can continue operating offline. The lifetime license means no recurring software subscription is required for the purchased entitled version; it does not mean the application will never verify the license.
One CleanerDesk license permits activation on up to four active computers used by the same licensed cleaning business. The purchase includes both macOS and Windows rights, and those four active computers may use either platform in any combination. If all four activation slots are in use, Licensee must deactivate an old computer through the controlled activation/deactivation system before activating a replacement computer.
2. Permitted Operational Activities
- Internal operational use by Licensee and authorized employees or cleaning helpers for day-to-day business management.
- Calculating and sending itemized cleaning quotes, estimates, and proposals to prospective clients.
- Maintaining customer contact records, service addresses, and Property Access Notes.
- Managing job schedules, appointments, and recurring cleaning cadences.
- Generating printable client invoices and recording partial/full payments.
- Modifying settings, pricing formulas, wage factors, and styling within the application to match Licensee's business.
- Creating regular operational backups (
.cqbackupfiles) for safekeeping on private local drives or private cloud storage.
3. License Restrictions & Prohibitions
- No Resale or Sublicensing: Licensee may not sell, rent, lease, sublicense, distribute, or transfer the software package, source code, or license key to any third party.
- No Multi-Tenant SaaS Hosting: Licensee may not host CleanerDesk as a shared online service or commercial platform for other cleaning businesses to use.
- No Redistribution: Licensee may not upload the application package to public file-sharing networks, code repositories, or digital download marketplaces.
- No Competing Derivatives: Licensee may not use the source code to create, package, or distribute a competing commercial software product.
4. Definition of “Lifetime”
“Lifetime” refers to the purchased entitled software version (v7.0.1) being licensed without recurring monthly or annual software subscription fees. The purchaser retains ongoing rights to use that entitled version subject to this Agreement, including periodic license verification. This license does not obligate Licensor to provide unlimited future architectural rewrites or future major-version upgrades.
5. Warranty & Liability
The software is provided “AS IS” without warranty of any kind. In no event shall Licensor be liable for any direct, indirect, special, incidental, or consequential damages resulting from the use or inability to use the software.
